COMMON LAW: Imperfect Entities
So, hey this is going to be easy, right? We get Colleen the Client’s declaration, draft a petition and proposed order to have the Court name her the stockholder and director of the corporation, serve Larry the Lawyer with the declaration and petition, Larry doesn’t oppose it, badda bing the Court signs the order, we file it with the Secretary of State and the Department of Corporations, and we’ve now perfected the corporation and Colleen the Client is in the clear. Thank you, Legislature, for setting up a streamlined procedure and giving explicit statutory authority to the Court, that makes our work much easier to do, and we can offer our client a high degree of certainty to the outcome — not to mention the ability to quote our client an affordable and reasonable fee.
